TITLE:	Convene Annual Meeting of Lee County Governmental Leasing Corporation

MOTION REQUESTED

Meet as the Board of Directors of the Lee County Governmental Leasing Corporation to hold its Annual Meeting. Approve the 2019 Annual Report for the Florida Department of State Division of Corporations, to be filed on-line by the County Attorney’s Office. And, approve the minutes of the corporate meetings of March 6, 2018, November 6, 2018, and January 15, 2019 in accordance with Chapter 617, Florida Statutes.

II.	ITEM SUMMARY
	Maintains Lee County Governmental Leasing Corporation’s non-profit status pursuant to Chapter 617, Florida Statutes, which requires the Board of County Commissioners meet as the Board of Directors for the Leasing Corporation annually and approve the corporation’s 2019 Annual Report.

BACKGROUND AND IMPLICATIONS OF ACTION

	A)	Board Action and Other History
		To maintain an “active” corporate status, the Lee County Governmental Leasing Corporation, a not-for-profit corporation, pursuant to Chapter 617, Florida Statutes, must hold its annual meeting and approve for filing with the Secretary of State the Corporation’s 2019 Annual Report. The annual report is not a financial statement. The report is used to update or confirm the Florida Department of State, Division of Corporations’ records. The data displayed on the online annual report form is the most current data on file with the Division of Corporations. An annual report must be filed each year, and is due by May 1st of each year in order to maintain an “active status” with the Department of State. In accordance with the State’s requirements, it is now necessary to file this Annual Report on-line.
